Terms of Service
Last updated: September 21, 2026
These Terms of Service (the “Terms”) are an agreement between you and Fanbase, Inc. (“Zealous”, “we”, “us”). They govern your use of zealous.app and our related applications and services (the “Service”). Our Privacy Policy explains how we handle personal information.
By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of a company or other organization, you agree on its behalf and confirm that you have the authority to do so. If you do not agree, do not use the Service.
1. Who can use the Service
You must be at least 18 years old and able to enter into a binding contract. You may not use the Service if we have previously suspended or terminated your account.
2. Your account and organization
Keep the information in your account accurate. You are responsible for everything that happens under your account, and for keeping your sign-in credentials secure. Tell us immediately at support@zealous.app if you believe your account has been compromised.
Content in the Service belongs to an organization. The owners and administrators of an organization control its content, its members and its subscription, and can remove your access to it. If you are invited to someone else's organization, the content you add there belongs to that organization as between you and it.
3. Your Content
“Your Content” is the audio, video and other material you upload or import, and what the Service makes from it for you: transcripts, clips, highlights, summaries, rendered videos, playlists and feeds.
You own it. We claim no ownership of Your Content. You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transcribe, adapt, render, transmit and display Your Content, and to let our service providers do the same, solely to provide, secure and improve the Service for you, and to publish it where you tell us to. This license ends when Your Content is deleted from the Service, except for copies in backups, which are overwritten on our normal cycle, and copies that others made while it was published.
We do not use Your Content to train AI models of our own.
You are responsible for it. You confirm that:
- you own Your Content or have every right and permission needed to upload it, process it and publish it through the Service;
- everyone who can be heard or seen in it has been told they were recorded and, where the law requires consent to record, to transcribe or to publish, has given that consent. Recording and publication laws differ from place to place, and complying with them is your responsibility;
- Your Content, and your use of it, does not infringe anyone's copyright, trademark, privacy, publicity or other rights, and does not break any law.
Publishing. When you publish or share something, such as a share link, an embed, a playlist or a podcast feed, it becomes available to anyone with the link or the feed, and they may copy it. Media files are served from web addresses that are hard to guess but are not protected by a password. Do not add content to the Service that must stay secret.
Removal. We may remove or disable Your Content, or suspend your account, if we reasonably believe it breaks these Terms or the law, or puts the Service or other people at risk. We are not obliged to monitor content and do not review it before it is published.
4. Connected accounts and third-party platforms
You can connect accounts from other platforms, such as X and Google. When you do, you authorize us to access that account as described at the time you connect it, including saving the X Spaces you host after they end. Your use of those platforms remains subject to their own terms, and you are responsible for complying with them. We do not control those platforms: they may change or withdraw the access we depend on at any time, and a feature that relies on them may stop working, without liability on our part. We cannot recover content that a platform removed before we saved it.
5. AI features
The Service uses artificial intelligence to transcribe recordings and to suggest highlights, summaries and similar output. AI output can be inaccurate, incomplete or inappropriate, and may attribute words to the wrong speaker. It is provided as a starting point. You are responsible for reviewing it before you rely on it or publish it, and you are responsible for what you publish.
6. Plans, trials and payment
Plans and credits. The Service is offered on a free plan and on paid subscription plans. Each plan includes monthly allowances, called credits, for transcription, rendering and other metered features. Current plans, prices and allowances are shown on our pricing page. Subscriptions and credits belong to an organization, not to an individual user.
- Credits reset every month, including on annual plans. Unused credits do not carry over and have no cash value.
- When an organization has no credits left for a feature, new jobs of that kind are blocked until the credits reset or the plan is upgraded. We do not charge for usage beyond your allowance.
- If a transcription or render fails, the credits it used are returned.
Free trials. A paid plan may start with a free trial, offered once per organization. If a payment method is on file when the trial ends, the subscription begins and you are charged. If none is on file, the subscription is cancelled and you are not charged.
Billing and renewal. Paid subscriptions are billed in advance, monthly or annually, through our payment processor, Stripe. Your subscription renews automatically at the end of each billing period, at the then-current price, until you cancel. You authorize us to charge your payment method for each renewal and for any applicable taxes. Prices exclude taxes unless stated otherwise.
Cancelling and changing plans. You can cancel or change your plan at any time in the billing portal. An upgrade takes effect immediately. A cancellation takes effect on the date the billing portal shows you when you cancel, normally the end of the billing period you have already paid for, and you keep access until then.
Refunds. Except where the law requires otherwise, payments are non-refundable and we do not give refunds or credits for partly used billing periods.
Price changes. We may change our prices. We will give you reasonable advance notice, and a change applies from your next billing period. If you do not agree, you can cancel before it takes effect.
Failed payments. If a payment fails, we may retry it, and we may suspend or downgrade the subscription if it remains unpaid.
7. Acceptable use
You agree not to:
- use the Service to break the law, or to infringe or violate anyone's rights;
- upload or publish content that you have no right to use, that was recorded or is published without legally required consent, or that is unlawful, defamatory, harassing, hateful, sexually exploitative of minors, or that promotes violence;
- impersonate any person or organization, or misrepresent your affiliation with one;
- use the Service to send spam or unsolicited promotional material;
- attempt to gain unauthorized access to the Service, other accounts, or the systems and networks connected to it;
- interfere with or disrupt the Service, including by introducing malicious code or by placing an unreasonable load on it;
- access the Service by automated means, such as scrapers or bots, except through interfaces we provide for that purpose;
- copy, resell or sublicense the Service, or reverse engineer it except to the extent the law permits this despite this restriction;
- create multiple accounts or organizations to obtain additional free allowances or trials, or otherwise circumvent plan limits.
8. Our intellectual property
The Service, including its software, design, templates, text and trademarks, belongs to Fanbase, Inc. and its licensors, and is protected by law. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms. Videos you render with our templates are Your Content and are yours to use. Our trademarks may not be used without our prior written consent. We may add Zealous branding to videos rendered on some plans.
9. Feedback
If you send us ideas or suggestions about the Service, you agree that we may use them without restriction and without owing you anything. Do not send us feedback that you consider confidential.
10. Copyright complaints
We respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (“DMCA”). If you believe content on the Service infringes your copyright, send a notice to our Copyright Agent at support@zealous.app with the subject line “Copyright Infringement”, including (see 17 U.S.C. 512(c)(3)):
- a physical or electronic signature of the copyright owner or a person authorized to act for them;
- identification of the copyrighted work you claim has been infringed;
- identification of the material you claim is infringing, and where it is on the Service, such as its URL;
- your address, telephone number and email address;
- a statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent or the law;
- a statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act for them.
If your content was removed and you believe that was a mistake, you may send us a counter-notice. We terminate the accounts of repeat infringers in appropriate circumstances. Anyone who knowingly misrepresents that material is infringing may be liable for damages.
11. Suspension and termination
You may stop using the Service at any time, and you may ask us to delete your account by emailing support@zealous.app. Cancel any paid subscription first: deleting an account does not by itself entitle you to a refund.
We may suspend or terminate your access to the Service if you breach these Terms, if your use creates risk or legal exposure for us or for others, or if we are required to by law. Where it is reasonable to do so, we will give you notice and a chance to download Your Content first. We may also discontinue the Service; if we do, we will give reasonable advance notice and refund any prepaid fees for the period after the Service ends.
Sections 3 (as to the license for content you published, and your responsibilities), 8, 9, and 12 to 16 survive termination.
12. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, FANBASE, INC. DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, THAT TRANSCRIPTS OR OTHER AI OUTPUT WILL BE ACCURATE, THAT A RECORDING FROM A THIRD-PARTY PLATFORM WILL BE SUCCESSFULLY SAVED, OR THAT YOUR CONTENT WILL NOT BE LOST. YOU ARE RESPONSIBLE FOR KEEPING YOUR OWN COPIES OF CONTENT THAT MATTERS TO YOU. NOTHING IN THESE TERMS AFFECTS WARRANTIES THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.
13. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, FANBASE, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, CONTENT OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS (US$100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW.
14. Indemnification
To the extent the law permits, you will defend, indemnify and hold harmless Fanbase, Inc. and its officers, directors, employees and agents from any third-party claim, and any related loss, liability, damages and reasonable costs (including attorneys' fees), arising out of Your Content, your use of the Service in breach of these Terms, or your violation of any law or of anyone's rights, including the rights of people who appear in your recordings.
15. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and you and we consent to the jurisdiction of those courts. If you are a consumer, this does not deprive you of the protection of mandatory laws of the country where you live, or of your right to bring a claim in the courts of that country where those laws give you that right.
Before filing a claim, please contact us at support@zealous.app. Most concerns can be resolved quickly that way.
16. General
Changes to the Service. We are always changing the Service, and may add, change or remove features. If a change materially reduces what a paid plan includes, we will give you reasonable notice.
Changes to these Terms. We may update these Terms. When we make a material change, we will tell you by email or with a notice in the Service at least 14 days before it takes effect, unless the change is required sooner by law. If you keep using the Service after the change takes effect, you accept the updated Terms. If you do not agree, stop using the Service and cancel your subscription.
Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the Service, and replace any earlier agreement about it.
Severability and waiver. If a court finds part of these Terms unenforceable, the rest remains in effect. If we do not enforce a provision, that is not a waiver of our right to do so later.
Assignment. You may not transfer your rights or obligations under these Terms without our written consent. We may transfer ours in connection with a merger, acquisition or sale of assets, or to an affiliate.
Notices. We may send you notices by email to the address on your account or through the Service. Send notices to us at support@zealous.app.
